1. Who we are and what these Terms cover
Forugo is operated by Forugo Limited, a company incorporated in the Hong Kong Special Administrative Region ("Forugo", "we", "us", "our").
Our registered office is:
Forugo Limited
3906, 39/F, The Center
99 Queen's Road, Central
Hong Kong
These Terms of Service (the "Terms") are a binding agreement between you and Forugo. They govern your use of:
- the Forugo mobile application for iOS and Android (the "App");
- the website at forugo.app and its subdomains (the "Website"); and
- every related service, feature and API we make available,
together, the "Platform".
By creating an account, making a booking, or otherwise using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.
2. Definitions
The following terms have specific meanings in this agreement.
- Plan — A day-by-day travel itinerary created by a user on the Platform. A Plan is a template: it is content, not a reservation, and holds no inventory.
- Published Plan — A Plan its Creator has published, making it discoverable by other users in search and in the feed.
- Creator — A user who publishes a Plan.
- Fork — A copy of a Published Plan taken by another user, which that user may then edit as their own Plan.
- Trip — Your own bookable instance of a Plan, created when you choose to book it. A Trip, not a Plan, is what carries dates, travellers and money.
- Travel Supplier — An independent third party that actually performs a travel service — an airline, a hotel, an accommodation wholesaler, a transport or activity operator, and any intermediary through whom we source that inventory.
- Booking — A reservation for a travel service placed with a Travel Supplier in connection with your Trip.
- Order — The single payment transaction covering all Bookings in one Trip, together with applicable fees and taxes.
- Commission — The share of Forugo's margin payable to a Creator when another user books a Trip based on that Creator's Plan.
- Content — Anything you submit to the Platform, including Plans, itinerary text, local knowledge and advisories, photographs, journal entries and profile information.
3. What Forugo is — and what it is not
Forugo is a marketplace for trip plans. Users build detailed, day-by-day Plans and publish them. Other users search by destination, dates, budget, travellers and transport, and receive Published Plans written by other people, ranked for relevance. From there you can follow a Plan as it stands, fork it into your own copy, or build one from scratch. When you decide to travel, you book the whole trip in a single payment, and we place each underlying Booking with the relevant Travel Supplier on your behalf.
Two clarifications, because both are commonly assumed and neither is true:
- We do not generate itineraries automatically. Search returns Plans
written by people. We rank and personalise those results; we do not synthesise an itinerary for you.
- **Forugo does not own, operate, control or staff any flight, hotel,
accommodation, transfer or activity.** Every such service is supplied and performed by an independent Travel Supplier under that supplier's own terms.
4. Our role, and who you are contracting with
This section is deliberately precise, because the distinction it draws determines who is answerable to you when something goes wrong.
4.1 We are an intermediary for the travel services themselves
Travel Suppliers are independent businesses. Each of them decides its own prices, availability, room and fare rules, check-in requirements, cancellation terms, and standards of service — and each of them, not Forugo, actually performs the service you have booked.
Accordingly:
- We do not guarantee the quality, safety, legality, suitability, punctuality
or continued availability of any service performed by a Travel Supplier.
- Where a Travel Supplier fails to perform — an overbooked room, a cancelled
flight, a closed attraction, a hotel that is not as described — that failure is the Travel Supplier's, and our liability to you for it is limited as set out in section 17.
- Your Booking is also subject to the Travel Supplier's own conditions of
carriage, room terms, fare rules and cancellation policy. Those conditions bind you, and some of them (fare rules in particular) are considerably stricter than anything in these Terms. We surface the material terms at checkout, but you are responsible for reading them.
4.2 We are the party you pay, and the party you contract with for the transaction
Unlike some travel platforms, Forugo does not hand your card details to the Travel Supplier. You make one payment to Forugo, covering every Booking in your Trip, and Forugo settles separately with each Travel Supplier. Forugo is the merchant of record for that payment and will appear on your card or bank statement.
This means:
- Your contract with Forugo covers the transaction: taking your payment,
placing your Bookings, issuing your confirmations and references, handling cancellations and refunds through us, and everything else described in these Terms.
- Your relationship with each Travel Supplier covers the performance of the
travel service itself, under that supplier's own terms.
We buy travel services at a supplier rate and sell them to you at the price we display. The difference between those two figures, together with the service fee described in section 10, is our margin.
5. Eligibility
To hold a Forugo account you must be at least 18 years old and legally capable of entering into a binding contract.
Children may travel on a Trip, and a Plan may include child and infant travellers, but the account holder who makes the Booking and accepts these Terms must be an adult doing so on their behalf.
Geographic scope. The Platform is not offered to, and may not be used by, citizens or residents of the Hong Kong Special Administrative Region. We may decline or cancel any registration or Booking that appears to originate from a person in that category.
6. Your account
Sign-in. Accounts are created and authenticated through Firebase Authentication, using an email address and password, a Google account or an Apple account. Forugo does not hold your password.
Your responsibility. You are responsible for everything done through your account. Keep your credentials confidential and tell us promptly if you believe someone else has access.
Sessions and devices. You remain signed in on a device until you sign out or the session is revoked. You can see every device currently signed in to your account, and end any of them, from your account settings. Access tokens are short-lived and are re-issued from a longer-lived refresh token; revoking a session ends both.
Accuracy. Keep your account details accurate. Booking confirmations, cancellation notices and payout communications go to the contact details on your account.
One account. Do not create multiple accounts to obtain referral rewards, promotional discounts or Creator Commission more than once. We may close accounts and void rewards obtained this way.
7. Plans, Creator Content and publishing
7.1 You keep ownership; you grant us a licence
You retain ownership of the Content you create. By publishing a Plan or otherwise submitting Content, you grant Forugo a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to host, store, reproduce, adapt, translate, reformat, publish, distribute and display that Content for the purposes of operating, improving and promoting the Platform, and to allow other users to view and fork it in accordance with these Terms.
This licence continues for as long as the Content remains on the Platform, and for a reasonable period afterwards to the extent needed for backups, records and Trips already booked from it. It does not entitle us to sell your Content as a standalone product.
Practical consequence, stated plainly: publishing a Plan makes it visible to other users and publicly viewable on the web at a shareable link. A public plan page shows the Plan's summary, destination, price estimate and photographs. It does not show the day-by-day itinerary or your local advisories — that material is what a Creator is paid for and is not given away on a public page.
7.2 What you must not publish
You warrant that your Content is yours to publish and does not infringe anyone else's rights. Do not publish Content that is unlawful, fraudulent, deceptive, defamatory, hateful, sexually explicit, invasive of another person's privacy, or that contains malware or spam. Do not publish another person's photographs, itineraries or writing as your own. Do not include other people's personal information without their consent.
7.3 Publishing requires identity verification
Because publishing a Plan can lead to you earning money, you must complete identity verification before you can publish. Verification is performed by an independent identity-verification provider; see the Privacy Policy for what happens to your documents.
7.4 Forking, and how Commission attribution follows it
Any user may fork a Published Plan into their own copy and edit it freely.
Commission attribution follows the original Creator, permanently. When a Plan is forked, the fork records the root Creator. If someone then books a Trip from that fork — or from a fork of that fork — the Commission is attributed to the original Creator, not to whoever forked it. That attribution is fixed when the Trip is created and is never recalculated afterwards.
7.5 Reporting, moderation and removal
Users can report a Published Plan for spam, fraud, inappropriate content or copyright infringement. We review reports and may unpublish, archive or remove Content, or suspend an account, where we reasonably consider these Terms have been breached or where we are legally required to act.
If you delete a Plan, it is archived rather than immediately erased: it stops being discoverable, but it is retained while any Trip booked from it, or any other user's saved copy, still depends on it.
8. Creator Commission, and how you get paid
8.1 How Commission is earned
When another user books a Trip based on your Published Plan, you earn a Commission calculated as a share of Forugo's margin on that Trip. Commission rates are set by us and may vary by Plan, category, partner or promotional campaign, and by your Creator tier, which is recalculated periodically based on the booking volume attributable to your Plans.
Commission is calculated on Forugo's margin, not on the total amount the traveller paid. It is not a share of the supplier's cost, the taxes, or the payment-processing fees. A maximum Commission rate applies however the rules and tier multipliers combine.
Your rate is fixed at the moment of booking. The applicable rate is resolved once, when the traveller pays, and recorded against that Commission. It is never recalculated afterwards — so a later change to the rules, or to your tier, does not alter Commission you have already earned, in either direction.
8.2 When it becomes payable
Commission does not become withdrawable at the moment of booking. It is held in a pending balance until the Trip has actually been taken — specifically, until the Trip's end date has passed by at least 24 hours and the Trip is marked completed. Only then does it move to your available balance.
This is intentional. A Trip can be cancelled or refunded before it happens, and Commission on a Trip that did not occur is not earned.
If a Trip is refunded in whole or in part, a corresponding reversal is applied to the Commission for that Trip, including after release.
8.3 Withdrawing
To withdraw you must have completed identity verification, have a payout account on file, and have an available balance at or above the published minimum withdrawal amount. Withdrawals are reviewed before payment and are made to the payout account you nominate.
We may withhold, delay or reverse a Commission or withdrawal where we reasonably suspect fraud, self-dealing, circular or artificial bookings, multiple accounts, or breach of these Terms, or where we are required to do so by law.
You are responsible for any tax arising on your Commission income in your own jurisdiction. We do not provide tax advice.
9. Search results, availability and prices shown before checkout
Prices and availability shown on a Plan are estimates carried on the Plan record, not quotes, and not a reservation of anything.
Plans can become unbookable as they age. We mark a Plan as stale when its dates have passed, when a flight or room in it is no longer sellable, or both. A stale Plan generally needs its dates rebased, or the unavailable component replaced, before it can be booked.
Prices are re-confirmed against the Travel Supplier immediately before payment. The price at checkout is the price that binds, and it may differ from the price displayed on the Plan. If it has changed, you will see the change before you pay and can decide not to proceed.
We try to keep the Platform accurate but do not warrant that descriptions, photographs, prices, ratings, map positions or availability are complete or error-free. Obvious errors and misprints do not bind us: if a price is manifestly wrong, we may cancel the affected Booking and refund you in full.
10. Prices, fees, taxes and currency
The price you pay for a Trip is made up of:
- the travel services themselves, at the price we display, which includes
our margin over the rate we pay the Travel Supplier;
- a service fee, calculated as a percentage of the pre-tax travel price;
- taxes applicable to the destination, calculated on the travel price plus
the service fee; and
- less any discount from a valid promotional or referral code.
We show you one all-inclusive price. These components are normally presented as a single total rather than as separate lines, so that the figure you see is the figure you pay. A breakdown is available in the price-details view. The total payable is always shown before you confirm.
Currency. Prices may be displayed in your chosen currency, converted from the currency in which the service is contracted, using the rate in force at the time of display. Your card issuer or bank may apply its own conversion and fees, over which we have no control, and the amount debited in your home currency may therefore differ from the figure shown.
Not included. Unless stated on the Plan, the price does not include visas, travel insurance, vaccinations, baggage beyond the allowance shown, seat selection not purchased, resort fees or tourist taxes collected locally by the property, meals, local transport, or anything else not expressly listed.
11. Booking and payment
One payment. When you book a Trip, you make a single payment for all its components. We then place each Booking with the relevant Travel Supplier.
Card handling. Payments are processed by Stripe. Your card details are entered into Stripe's own secure interface and are transmitted to Stripe directly — Forugo never receives, holds or stores your full card number, expiry or security code. If you choose to save a card for next time, what we store is a Stripe token together with the card's brand, last four digits and expiry month and year, so you can recognise it.
Fraud checks. Payments are screened for fraud. Depending on the assessed risk, you may be asked to complete additional authentication with your bank (3-D Secure) before the payment will go through.
Confirmation. Your payment is taken before your Bookings are placed. A Trip is only confirmed when the underlying Bookings are confirmed by the Travel Suppliers. Occasionally a Travel Supplier accepts a booking request but does not confirm it immediately; in that case we will tell you, and we will not place a second request for the same booking while the first is outstanding.
If a Booking cannot be confirmed. If a component of your Trip cannot be confirmed after payment, we will contact you to arrange an alternative or refund the affected component. Where that component's failure makes a connected component pointless — a hotel booked around a flight that failed, for example — we will tell you what your options are, and where we cancel a connected component for that reason we will not pass a supplier cancellation penalty on to you for it.
12. Changes and cancellations
12.1 You may always cancel
You may always request cancellation of a Booking. There is no circumstance in which we will refuse to let you cancel.
What is in question is never whether you may cancel, but how much money comes back — and that is determined by the Travel Supplier's cancellation terms for the specific rate or fare you bought, not by us.
12.2 There is no cooling-off period
Forugo does not offer a free-cancellation window. There is no 24-hour free look and no grace period during which a booking can be undone at no cost. Every cancellation follows the Travel Supplier's own policy from the moment the Booking is made.
Many fares and rates are wholly or substantially non-refundable. Some become non-refundable at a fixed point before travel. You will be shown the cancellation terms that apply before you pay, and again when you request cancellation.
12.3 How a cancellation is processed
When you request cancellation we will quote you the expected refund, based either on the Travel Supplier's live cancellation quote or on the cancellation schedule recorded for your booking. The quote is an estimate and may be time-limited.
We cancel with the Travel Supplier first, and refund you afterwards. No refund is issued until the Travel Supplier has confirmed the cancellation. Some suppliers confirm through an automated interface within minutes; others require manual handling and take longer. We will keep you informed.
If a Travel Supplier refuses a cancellation, your Booking remains live and no refund arises. That is different from a cancellation that fails part-way, where money is owed to you; in that case the amount owed is tracked and settled, and you should contact us if you have not heard from us.
12.4 What is refunded and what is not
Where a cancellation penalty applies, the amount deducted from your refund is the Travel Supplier's penalty together with our margin on the portion of the booking that is forfeited. In other words, the deduction is calculated against the price you paid, not against the rate we paid the supplier.
Taxes are refunded in proportion to the refunded amount. Refunds are issued to the original payment method. Your bank's processing time is outside our control.
12.5 Changes by the Travel Supplier
Travel Suppliers sometimes change schedules, reassign rooms, or cancel outright. We will pass on what we are told as soon as we are told it. Your remedies in that situation are primarily against the Travel Supplier and under that supplier's policy; we will help you pursue them, and we will refund anything we hold that is due back to you.
12.6 No-shows
Failing to use a Booking without cancelling it generally forfeits the entire amount, and may also void later segments of the same fare. Cancel properly, even late, rather than simply not turning up.
13. Travel documents and your responsibilities as a traveller
You are responsible for:
- ensuring every traveller holds a valid passport or travel document, with
enough remaining validity for the destination;
- obtaining all necessary visas, permits, transit authorisations, health
certificates and vaccinations;
- giving us traveller names exactly as they appear on the travel document —
airlines frequently refuse travel on a name mismatch, and a correction may be impossible or chargeable;
- giving accurate dates of birth, nationalities and document details, which are
required by suppliers and by border authorities;
- checking in, arriving on time, and complying with each supplier's rules; and
- arranging your own travel insurance, which we strongly recommend.
We are not responsible for a refused boarding, a denied entry, or a forfeited Booking that results from incorrect traveller details, missing documents or an unmet entry requirement.
14. Referrals and promotional codes
We may run a referral programme and issue promotional codes. Where we do:
- the reward amount, minimum spend, currency, expiry and eligibility rules are
set by us and published in the App; they may change, and the rules applying to a referral are those recorded at the time it was claimed;
- a referral reward becomes payable when the person you invited **completes
their first Trip** — not when they sign up, and not when they book;
- rewards take the form of a single-use promotional code, subject to the
conditions attached to that code. There is no cash alternative and no transferable referral balance;
- campaigns may be capped by total budget and by the number of rewards per
person; and
- we may void codes and rewards obtained through multiple accounts, false
identities, automated means, or any arrangement whose purpose is to generate rewards rather than genuine bookings.
15. Acceptable use
Do not:
- use the Platform for any unlawful purpose, or to book travel you intend to
use unlawfully;
- misrepresent who you are, or book on behalf of someone else without their
authority;
- scrape, crawl, harvest or bulk-download Plans, prices, inventory or user
information;
- reverse engineer, decompile, or attempt to gain unauthorised access to the
Platform or to any account;
- interfere with the Platform's operation, security or availability, or place
disproportionate load on it;
- resell, redistribute or commercially exploit Plans, inventory or price data
obtained from the Platform without our written permission; or
- use the Platform to harass other users, or to contact them for purposes
unrelated to their Content.
16. Intellectual property
The Platform — its software, design, interface, brand, name, logos, ranking and matching systems, and the compilation and arrangement of all content on it — belongs to Forugo or its licensors and is protected by intellectual property law. Nothing in these Terms transfers any of it to you. You may use the Platform only as these Terms allow.
Content published by users belongs to those users, subject to the licence in section 7.1.
Supplier names, hotel names, airline marks and property photography belong to their respective owners and are used to describe the services offered.
Copyright complaints. If you believe Content on the Platform infringes your copyright, report it through the in-app reporting function or contact us at the address in section 22, identifying the Content, your rights in it, and your contact details.
17. Disclaimers and limitation of liability
Provided as-is. Except as these Terms expressly state, the Platform is provided as-is and as-available. We do not warrant that it will be uninterrupted, error-free, or that content, prices or availability are accurate or current.
Supplier performance. We are not liable for the acts, omissions, delays, insolvency, negligence or default of any Travel Supplier, nor for anything that happens to you during travel that is not caused by us — including injury, illness, loss or damage to property, missed connections, weather, strikes, epidemics, civil unrest, border closures or government action.
Nothing excluded that cannot be. Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that applicable law does not permit to be limited. Where mandatory consumer rights apply to you, those rights stand regardless of anything in these Terms.
Excluded losses. Subject to the paragraph above, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of enjoyment, or loss of data.
Cap. Subject to the paragraphs above, our total liability to you in connection with any Trip is limited to the total amount you paid Forugo for that Trip. For claims not connected to a Trip, our total liability is limited to the greater of the amounts you paid us in the twelve months before the claim arose, or USD 100.
18. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your Content, your misuse of the Platform, or your violation of any law or of any third party's rights. This does not apply to the extent the claim arises from our own breach or negligence.
19. Suspension, termination and account deletion
By you. You may stop using the Platform at any time and may delete your account from within the App.
What deletion does. Account deletion is immediate and irreversible. We anonymise your account rather than erasing every trace of it, because some records must be kept:
- your saved companions, registered devices, saved card tokens, payout account
details and notifications are deleted;
- passenger details held against your Trips — passport numbers, dates of birth,
document details, contact details — are stripped immediately;
- every signed-in session is revoked and your login credentials are invalidated;
- your name, email address, phone number, username and profile photo are
replaced with anonymous values; and
- transaction records are retained in anonymised form, because we are
required to keep them. Where you have taken a payout, identity-verification records are retained for a fixed anti-money-laundering period.
The full detail, including retention periods, is in the Privacy Policy.
By us. We may suspend or close your account, unpublish your Content, or refuse a Booking, where you have breached these Terms, where we reasonably suspect fraud or abuse, where we are required to by law or by a Travel Supplier or payment provider, or where we discontinue the service. Where it is reasonable and lawful to do so, we will tell you why.
Effect. Sections that by their nature should survive termination do — including sections 7.1 (licence), 16, 17, 18, 20 and 21 — and termination does not affect Bookings already made, refunds already due, or Commission already earned.
20. Changes to these Terms
We may update these Terms. When we do, we will change the version date at the top and, where the change is material, notify you in the App or by email before it takes effect.
Material changes take effect no earlier than 30 days after we notify you, except where an earlier date is required by law or by a change in a payment or supplier requirement. Continuing to use the Platform after a change takes effect means you accept it. If you do not accept it, stop using the Platform and, if you wish, delete your account.
Changes never apply retrospectively to a Trip you have already booked. The Terms in force when you paid govern that Trip.
21. Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or with your use of the Platform, are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules.
Before commencing formal proceedings, please contact us so we can try to resolve the matter directly. Most disputes are resolved this way.
Subject to that, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction, except that where you are a consumer and mandatory law in your country of residence gives you the right to bring proceedings there or to rely on that country's consumer protection law, that right is unaffected.
22. General
Entire agreement. These Terms, together with the Privacy Policy and any policy expressly incorporated into them, are the whole agreement between us about the Platform.
Severability. If any provision is held unenforceable, the rest continues in force and the unenforceable provision is read down to the minimum extent necessary.
No waiver. Not enforcing a provision on one occasion does not waive it.
Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, reorganisation or sale of the business.
No third-party rights. Except as stated, no one other than you and Forugo has any right to enforce these Terms.
Notices and electronic records. We communicate with you electronically — in-app, by push notification and by email — and you agree that electronic communications and records satisfy any legal requirement for writing.
Language. These Terms may be translated. If there is a conflict between the English version and a translation, the English version prevails, except where local law requires otherwise.
